ANR MEDIA
TERMS & CONDITIONS

Version 1.0
Effective Date: 31 August 2026

ANR Industries (Pty) Ltd
Trading as ANR Media
Company Registration Number: 2020/698224/07
VAT Number: 4390322727

These Terms & Conditions apply to quotations, sales, equipment, custom manufacturing, installations and services supplied by ANR Industries (Pty) Ltd trading as ANR Media.

Please read these Terms & Conditions before approving a quotation or making payment.

By electronically approving an ANR quotation, making payment against a quotation, instructing ANR to proceed, accepting delivery of goods, or permitting procurement, manufacturing or work to commence, the Client confirms acceptance of the applicable quotation and these Terms & Conditions.

No handwritten signature is required unless specifically requested.

  1. DEFINITIONS

For purposes of these Terms & Conditions:

“ANR”, “we”, “us” or “the Company” means ANR Industries (Pty) Ltd trading as ANR Media.

“Client”, “Customer” or “you” means the person, company, trust or other entity accepting an ANR quotation or purchasing goods or services from ANR.

“Quotation” means the quotation issued by ANR describing the goods, equipment, manufacturing, installation and/or services offered.

“Project” means the goods, equipment, manufacturing, installation or services described in the accepted Quotation.

“Goods” or “Equipment” includes audiovisual equipment, speakers, projectors, televisions, screens, electronics, cabling, accessories, furniture, cabinetry, acoustic products, manufactured products and other items supplied by ANR.

“Services” includes design, consultation, manufacturing, delivery, installation, programming, configuration, commissioning and related work.

“Business Day” means Monday to Friday excluding South African public holidays.

  1. APPLICATION OF THESE TERMS

These Terms & Conditions apply to every accepted ANR Quotation unless ANR expressly agrees otherwise in writing.

The accepted Quotation, these Terms & Conditions, approved designs and specifications where applicable, and any subsequently approved variations together form the agreement between ANR and the Client.

If a specific term written on a Quotation expressly conflicts with a general provision of these Terms & Conditions, the specific term on the Quotation will take precedence for that Project.

The version of these Terms & Conditions in force on the date the Client accepts the Quotation will apply to that Project.

ANR may update these Terms & Conditions from time to time. Changes will not retrospectively alter an existing accepted agreement unless agreed between ANR and the Client or required by law.

  1. QUOTATION VALIDITY

A Quotation is valid until the expiry date stated on the Quotation.

Acceptance after the expiry date is subject to confirmation by ANR.

Pricing remains subject to equipment availability, supplier pricing, distributor pricing, exchange-rate movements, manufacturer changes and other procurement factors until the relevant equipment has been purchased and paid for by ANR, except to the extent pricing protection applies under the selected payment option.

ANR may revise an expired Quotation before accepting an order.

  1. SCOPE OF WORK

ANR is responsible only for the goods, equipment and services expressly included in the accepted Quotation.

Anything not specifically included in the Quotation is excluded unless subsequently agreed as a variation.

Unless expressly quoted, ANR’s work does not automatically include:

  • building alterations;
  • structural work;
  • plumbing;
  • waterproofing;
  • painting or plastering;
  • ceiling repairs;
  • electrical upgrades;
  • electrical compliance certificates;
  • network infrastructure;
  • internet services;
  • repair of pre-existing defects; or
  • work required to correct defects created by other contractors.

Where electrical or specialist work requiring statutory certification is included, such work may be performed by an appropriately qualified or registered contractor as required by law.

  1. PAYMENT OPTIONS

Unless otherwise expressly stated on the Quotation, the following payment options are available.

OPTION 1 – STANDARD PAYMENT PLAN

20% deposit payable upon acceptance of the Quotation.

60% payable once the major AV equipment has been procured, allocated or ordered and before delivery of the equipment or commencement of installation.

15% payable upon commencement of installation.

Final 5% payable upon handover and completion.

No settlement discount applies to Option 1.

Equipment pricing is not secured until the relevant equipment has actually been purchased and paid for by ANR.

Supplier price increases, exchange-rate movements or other unavoidable procurement increases occurring before procurement may result in an adjustment to equipment pricing.

OPTION 2 – MOST POPULAR – 3% SETTLEMENT DISCOUNT

70% deposit payable upon acceptance of the Quotation.

25% payable upon delivery of the major equipment and commencement of installation.

The remaining settlement amount is payable upon handover and completion.

Provided that every payment is received in full and on time, a settlement discount equal to 3% of the original agreed Quotation value will be credited on the final account.

The discount does not automatically apply to subsequent variations, additional equipment or additional work unless expressly agreed by ANR.

Upon receipt of the 70% deposit, ANR will proceed with procurement as soon as reasonably practical.

Pricing becomes secured for equipment once that equipment has actually been purchased and paid for by ANR.

Where equipment is available and logistics reasonably permit, ANR may deliver procured equipment to the Client for safekeeping before installation.

OPTION 3 – PRIORITY PAYMENT PLAN – 7% SETTLEMENT DISCOUNT

90% deposit payable upon acceptance of the Quotation.

The remaining settlement amount is payable upon handover and completion.

Provided that every payment is received in full and on time, a settlement discount equal to 7% of the original agreed Quotation value will be credited on the final account.

The discount does not automatically apply to subsequent variations, additional equipment or additional work unless expressly agreed by ANR.

Equipment procurement, pricing protection, delivery and risk provisions applicable to Option 2 also apply to Option 3.

  1. SELECTION OF PAYMENT OPTION

Option 1 will apply by default unless another payment option is expressly selected or clearly identified by the payment received.

Payment of the required 70% deposit may be treated as selection of Option 2.

Payment of the required 90% deposit may be treated as selection of Option 3.

ANR may confirm the Client’s selected payment option by Quotation, email, WhatsApp or other recorded electronic communication.

A payment greater than the Option 1 deposit but less than the deposit required for Option 2 or Option 3 does not automatically qualify the Client for the applicable settlement discount.

  1. DISCOUNTS AND LATE PAYMENTS

ALL DISCOUNTS ARE CONDITIONAL UPON PAYMENT TERMS BEING MET.

Any settlement discount, promotional discount, special price or other reduction offered by ANR is conditional upon every payment being received in full and by the agreed due date.

If any payment is late, incomplete or missed:

  • the applicable conditional discount may automatically fall away;
  • the Project price will revert to the applicable undiscounted price;
  • any discount previously provisionally credited may be reversed; and
  • the resulting outstanding amount will become payable in accordance with the agreed payment schedule.

Acceptance of a late or partial payment does not mean that ANR has waived this condition.

Approved variations and additional work do not automatically qualify for any discount applying to the original Quotation.

  1. PAYMENT DUE DATES

Payments become due when the applicable milestone stated in the Quotation or selected payment option is reached.

The Client’s obligation to make an undisputed payment is not dependent upon ANR issuing repeated reminders.

Where a genuine dispute exists regarding a portion of an account, the Client must notify ANR promptly.

Amounts not genuinely in dispute remain payable.

  1. QUOTATIONS, PAYMENT REQUESTS AND TAX INVOICES

A Quotation is an offer and is not represented as a tax invoice.

ANR may issue Quotations, statements, pro-forma documents, payment requests or other lawful payment notifications requesting payment.

Tax invoices will be issued in accordance with the Value-Added Tax Act and applicable SARS requirements.

Nothing in these Terms & Conditions is intended to postpone, avoid or alter any VAT obligation imposed on ANR by law.

The Client’s contractual obligation to make a payment when due is not dependent upon a tax invoice first being issued except where applicable law requires otherwise.

  1. VAT

ANR is a registered VAT vendor.

VAT will be charged at the applicable statutory rate.

Where a Quotation identifies amounts as VAT exclusive, VAT will be added.

Where an amount is identified as VAT inclusive, VAT is included at the applicable rate.

Should the statutory VAT rate change, ANR may make any adjustment required by law in respect of affected supplies.

  1. PROCUREMENT

ANR relies upon manufacturers, importers, distributors and other suppliers for AV equipment and materials.

Equipment remains subject to supplier availability until successfully procured.

ANR is not responsible for circumstances outside its reasonable control including:

  • supplier stock shortages;
  • discontinued products;
  • international shipping delays;
  • customs delays;
  • manufacturer delays;
  • distributor delays;
  • import restrictions; or
  • unexpected product allocation issues.

ANR will communicate material issues to the Client as soon as reasonably practical.

  1. PRODUCT SUBSTITUTION

If quoted equipment becomes unavailable, discontinued or cannot reasonably be obtained, ANR may propose an alternative product.

Where reasonably possible, the replacement will provide substantially similar or improved functionality.

ANR will obtain the Client’s approval before making a substitution that materially changes performance, specification or price.

Any agreed price difference will be added to or deducted from the Project value.

  1. PRICE PROTECTION

Under Payment Option 1, equipment pricing is not protected until the relevant equipment has been purchased and paid for by ANR.

Under Payment Options 2 and 3, ANR will use the deposit to commence procurement as soon as reasonably practical.

Price protection applies only to equipment actually purchased and paid for by ANR.

Price protection does not apply to:

  • Client-requested changes;
  • upgrades;
  • additional equipment;
  • subsequently approved variations;
  • additional work; or
  • items not included in the original Quotation.
  1. OWNERSHIP OF GOODS

To the extent permitted by law, ownership of goods supplied by ANR remains with ANR Industries (Pty) Ltd until all amounts owing in respect of the applicable goods and Project have been paid in full.

The Client may not sell, pledge, dispose of or encumber equipment belonging to ANR before ownership has passed.

Nothing in this clause permits ANR to exercise unlawful self-help or enter the Client’s property without lawful authority.

  1. IMPORTANT – DELIVERY AND TRANSFER OF RISK

Where equipment is delivered to the Client before installation, the Client must take reasonable care of the equipment.

IMPORTANT:

Once equipment has been delivered to and accepted by the Client for storage or safekeeping before installation, the risk of loss, theft, fire, water damage, accidental damage or other physical damage while the equipment is in the Client’s possession will pass to the Client to the extent permitted by law.

Ownership may nevertheless remain with ANR until payment in full.

The Client is responsible for ensuring that delivered equipment is:

  • stored securely;
  • kept dry;
  • protected from construction work and other contractors;
  • not unnecessarily moved;
  • not opened or installed without authorisation; and
  • appropriately insured where necessary.

Risk does not transfer to the Client in respect of loss or damage caused by ANR’s own negligence or conduct for which ANR may not lawfully exclude responsibility.

  1. DELIVERY TIMES

Any anticipated delivery date is an estimate unless expressly guaranteed by ANR in writing.

ANR is not responsible for reasonable delays caused by manufacturers, suppliers, transporters or events outside ANR’s reasonable control.

  1. MANUFACTURING LEAD TIMES

Unless otherwise stated, custom manufacturing typically requires approximately 7 to 21 Business Days, depending upon the nature of the work and availability of materials.

Lead times generally commence only once:

  • the required deposit has cleared;
  • final specifications or designs required for manufacture have been approved;
  • necessary site measurements have been completed;
  • materials are reasonably available; and
  • ANR has the information required to proceed.

Custom or complex projects may require longer lead times.

  1. INSTALLATION SCHEDULING

Installation dates depend upon:

  • receipt of required payments;
  • procurement of equipment;
  • completion of manufacturing;
  • site readiness;
  • availability of materials; and
  • installer availability.

ANR will make reasonable efforts to meet agreed dates.

A proposed installation date does not constitute a guaranteed completion date unless expressly confirmed as such in writing.

  1. CLIENT-CAUSED DELAYS

The Client must ensure that the installation site is reasonably ready when ANR is scheduled to attend.

Where ANR’s work is delayed because:

  • the property is inaccessible;
  • building work is incomplete;
  • other contractors are not finished;
  • required electrical work is incomplete;
  • the Client requests postponement;
  • required information or approvals have not been provided; or
  • another issue within the Client’s reasonable control prevents work,

ANR may reschedule the Project.

Where reasonably incurred, ANR may charge additional storage, transport, contractor cancellation, accommodation, travel or remobilisation costs caused by the delay, subject to prior notification where reasonably possible.

  1. SITE ACCESS

The Client must provide ANR and its authorised contractors with reasonable access to the site during agreed working hours.

The Client is responsible for obtaining any necessary permission from an estate, body corporate, landlord, security service or other controlling party.

Restrictions on working hours, deliveries or contractor access should be disclosed before work is scheduled.

  1. SITE CONDITIONS

ANR quotations are based on site conditions known or reasonably visible at the time of quotation.

ANR is not responsible for pre-existing or concealed conditions that could not reasonably have been identified beforehand.

These may include:

  • hidden electrical cables;
  • plumbing or water pipes;
  • structural beams;
  • defective electrical wiring;
  • defective network cabling;
  • water ingress;
  • damp;
  • structural defects;
  • inadequate power supply;
  • concealed construction defects; or
  • other hidden services.

Where unexpected site conditions require additional work, ANR will advise the Client and may issue a variation.

  1. CLIENT DISCLOSURE

The Client should inform ANR of any known concealed wiring, plumbing, underfloor heating, structural elements, alarm wiring, security systems or other services that could reasonably be affected by drilling, cutting or installation work.

The Client must also identify particularly valuable, delicate or vulnerable finishes in areas where installation work will occur.

  1. VARIATIONS

Changes requested after acceptance of the Quotation may constitute a variation.

Variations may include:

  • equipment upgrades;
  • additional equipment;
  • design changes;
  • relocation of equipment;
  • additional cabling;
  • additional site visits;
  • construction changes;
  • additional programming;
  • additional installation work; or
  • other services outside the original scope.

ANR will advise the Client of material additional costs before proceeding wherever reasonably practical.

Variations may be approved electronically by quotation approval, email, WhatsApp, recorded instruction, payment or another method evidencing the Client’s approval.

Approved variations form part of the agreement.

  1. DESIGN APPROVAL

Where ANR provides designs, drawings, renderings, layouts or equipment positions, the Client is responsible for reviewing and approving them where approval is requested.

The Client should raise requested changes before manufacturing or installation begins.

Changes requested after manufacturing or installation has commenced may result in additional costs.

  1. RENDERS AND VISUAL REPRESENTATIONS

Three-dimensional renders, drawings and visual concepts are intended to illustrate the proposed design.

They are not photographs of the completed room.

Colours, textures, lighting intensity, proportions, materials and other visual characteristics may differ slightly in actual construction due to:

  • screen and display differences;
  • material availability;
  • manufacturing tolerances;
  • lighting conditions; and
  • actual site dimensions.

Material deviations from the agreed design will be discussed with the Client where reasonably practical.

  1. CLIENT-SUPPLIED EQUIPMENT

Where ANR agrees to install, connect or configure equipment supplied by the Client or another supplier, ANR is not responsible for:

  • the condition of that equipment;
  • manufacturer defects;
  • compatibility problems;
  • missing accessories;
  • unsupported functionality;
  • reliability; or
  • warranty obligations relating to that equipment.

Additional time required to diagnose Client-supplied equipment may be chargeable.

  1. INTERNET, WI-FI AND NETWORK SERVICES

Many AV, smart-home, streaming and control products depend upon third-party networks, internet services, software and cloud platforms.

Unless included in the Quotation, ANR does not guarantee the quality or performance of the Client’s:

  • internet connection;
  • Wi-Fi network;
  • router;
  • network cabling;
  • mobile signal; or
  • third-party network services.

System performance affected by inadequate network infrastructure does not automatically constitute an installation defect.

  1. THIRD-PARTY SERVICES AND SOFTWARE

Some equipment depends upon services supplied by manufacturers or third parties.

These may include:

  • streaming services;
  • music services;
  • manufacturer applications;
  • cloud services;
  • voice assistants;
  • firmware;
  • mobile applications; and
  • online control platforms.

ANR cannot guarantee that any third-party provider will permanently continue a particular feature, service or application.

Changes made by third parties after installation are outside ANR’s control.

Additional visits required to reconfigure equipment following third-party changes may be chargeable.

  1. INSTALLATION STANDARD

ANR will perform its Services with reasonable care and skill.

Final equipment positions may reasonably differ from preliminary drawings where required by actual site dimensions, technical requirements or concealed site conditions.

ANR will endeavour to minimise disruption to the Client’s property.

  1. PROJECT COMPLETION

A Project will generally be regarded as substantially complete when the material goods and Services included in the Quotation have been supplied and the system is capable of being used for its intended purpose.

Minor snag items, cosmetic touch-ups or adjustments that do not materially prevent use of the system do not automatically mean that the entire Project is incomplete.

ANR remains responsible for legitimate workmanship defects and agreed outstanding work.

  1. HANDOVER

Where applicable, ANR will commission the system and provide reasonable basic guidance regarding operation.

The Client is responsible for maintaining passwords, application accounts, subscription accounts and other user credentials after handover unless otherwise agreed.

  1. SNAGGING

The Client should notify ANR of visible installation or workmanship snags as soon as reasonably possible after completion.

ANR must be given a reasonable opportunity to inspect and correct legitimate defects for which ANR is responsible.

The existence of minor snag items does not automatically entitle the Client to withhold amounts unrelated to those items.

Any undisputed amount remains payable.

If another contractor modifies or interferes with ANR’s installation before ANR has been given an opportunity to inspect a reported defect, ANR will not be responsible for defects caused by that intervention.

  1. WARRANTIES

Equipment supplied by ANR is subject to the applicable manufacturer’s or distributor’s warranty.

ANR will reasonably assist Clients with legitimate warranty claims relating to equipment supplied by ANR.

Manufacturer or distributor exclusions may include damage caused by:

  • misuse;
  • negligence;
  • accidental damage;
  • lightning;
  • electrical surges;
  • water;
  • fire;
  • improper ventilation;
  • unauthorised modification;
  • physical damage; or
  • use contrary to manufacturer instructions.

ANR remains responsible for its workmanship to the extent required by applicable law.

  1. WARRANTY INSPECTIONS

Where a reported fault appears to relate to ANR-supplied equipment or workmanship, ANR may inspect the system.

If inspection establishes that the fault resulted from something outside ANR’s responsibility, including network problems, Client misuse, third-party equipment or alterations by another contractor, a reasonable call-out or diagnostic charge may apply.

  1. MANUFACTURER WARRANTY PROCESS

Warranty repairs or replacements may require equipment to be returned to a manufacturer, importer or distributor.

Turnaround times for third-party warranty assessments and repairs are outside ANR’s direct control.

ANR does not guarantee that a manufacturer will immediately replace equipment where the manufacturer’s process requires assessment or repair.

  1. CANCELLATION BY THE CLIENT

ANR projects frequently involve equipment and products specifically ordered for an individual Client, custom manufacturing, custom cabinetry, acoustic treatments and specialist materials.

If the Client cancels an accepted Project, ANR may retain or recover reasonable amounts relating to:

  • equipment already ordered or purchased;
  • non-returnable goods;
  • custom-made goods;
  • personalised goods;
  • materials already purchased;
  • work already completed;
  • design work already performed;
  • supplier cancellation charges;
  • supplier restocking charges;
  • committed contractors;
  • transport or logistics costs already incurred; and
  • reasonable and legally permissible cancellation charges.

Any cancellation charge will remain subject to applicable South African law.

ANR will not rely on this clause to remove any statutory cancellation right that cannot lawfully be excluded.

  1. CUSTOM AND SPECIAL-ORDER GOODS

The Client acknowledges that many ANR products may be ordered or manufactured specifically for the Client.

These can include:

  • custom cabinetry;
  • cinema furniture;
  • acoustic panels;
  • upholstered products;
  • specialised finishes;
  • custom screen arrangements;
  • architectural cinema features; and
  • specific AV equipment procured specifically for the Project.

Such items may have little or no reasonable resale value to ANR.

Cancellation and return rights relating to these products are therefore subject to applicable legislation governing specially ordered, customised and personalised goods.

  1. STATUTORY COOLING-OFF RIGHTS

Nothing in these Terms & Conditions is intended to remove a statutory cooling-off or cancellation right that applies to a particular transaction and cannot lawfully be excluded.

Where the law provides an exception for customised, personalised, special-order or other qualifying goods or services, that exception may apply.

  1. RETURNS

Products may not be returned without prior authorisation from ANR.

Returns of unused standard equipment may be subject to applicable legal rights as well as manufacturer, distributor or supplier return requirements.

Where legally permissible, reasonable supplier restocking or return costs may apply.

Custom, personalised or specially ordered goods may not be returnable where applicable law permits this.

Nothing in this clause limits the Client’s statutory remedies for defective, unsafe or incorrectly supplied goods.

  1. DAMAGE TO PROPERTY

ANR will exercise reasonable care while working at the Client’s property.

ANR is not responsible for pre-existing damage or defects.

ANR is also not responsible for damage caused by concealed conditions that could not reasonably have been identified before the work commenced, except to the extent that the damage was caused by ANR’s negligence or conduct for which liability may not lawfully be excluded.

  1. OTHER CONTRACTORS

ANR is not responsible for the workmanship or actions of independent contractors appointed directly by the Client.

Where ANR’s work depends on work performed by another contractor, delays or defects caused by that contractor may affect ANR’s schedule or system performance.

  1. SUBCONTRACTORS

ANR may use suitably qualified employees, independent contractors or specialist subcontractors to perform portions of the Project.

ANR remains responsible for its contractual obligations to the extent required by law.

  1. SUSPENSION FOR NON-PAYMENT

Where a payment remains overdue, ANR may, after appropriate notice where required, suspend:

  • procurement;
  • manufacturing;
  • deliveries;
  • installation;
  • programming; or
  • other Project work.

Any resulting delay may extend the Project programme.

ANR is not responsible for delays caused by a lawful suspension resulting from the Client’s payment default.

Reasonable expenses caused by the suspension, including storage, transport or remobilisation costs, may be charged where permitted by law.

  1. OVERDUE ACCOUNTS

ANR reserves the right to pursue lawful recovery of overdue amounts.

ANR may refer overdue accounts to attorneys, collection agents or other lawful debt-recovery services.

Where permitted by law, the Client may be liable for reasonable collection and legal expenses lawfully recoverable from the Client.

  1. PAYMENT ARRANGEMENTS

Acceptance of a temporary payment arrangement does not extinguish the original debt unless ANR expressly agrees to a settlement or compromise in writing.

Failure by ANR to immediately enforce a right does not constitute a waiver of that right.

  1. FORCE MAJEURE

ANR will not be considered in breach of the agreement where performance is prevented or materially delayed by circumstances outside its reasonable control.

These circumstances may include:

  • natural disasters;
  • severe weather;
  • flooding;
  • fire;
  • civil unrest;
  • strikes;
  • government restrictions;
  • load-shedding or utility disruption;
  • telecommunications failures;
  • epidemics or public emergencies;
  • international shipping interruptions;
  • port delays;
  • import restrictions;
  • material shortages;
  • equipment shortages;
  • manufacturer failure; or
  • supplier failure.

ANR will make reasonable efforts to minimise disruption and continue performance when reasonably possible.

  1. PERMANENT IMPOSSIBILITY

If circumstances outside the parties’ reasonable control make performance permanently impossible, the parties’ rights and obligations will be determined according to applicable law and the goods, Services and commitments already supplied or incurred.

  1. LIMITATION OF LIABILITY

To the extent permitted by law, ANR will not be responsible for indirect or consequential financial loss arising from circumstances outside ANR’s reasonable control.

Nothing in these Terms & Conditions:

  • excludes liability for gross negligence where such exclusion would be unlawful;
  • excludes liability that cannot legally be excluded;
  • removes statutory consumer remedies; or
  • limits rights granted to the Client by applicable law where those rights may not lawfully be waived.
  1. IMPORTANT CONSUMER NOTICE

Certain provisions of these Terms & Conditions may:

  • limit ANR’s risk or liability;
  • allocate particular risks to the Client;
  • require the Client to assume responsibility for goods in the Client’s possession; or
  • contain acknowledgements by the Client.

In particular, Clients should carefully review:

  • Section 7: Discounts and Late Payments;
  • Section 15: Delivery and Transfer of Risk;
  • Section 21: Site Conditions;
  • Sections 36 to 39: Cancellation and Returns;
  • Section 46: Force Majeure; and
  • Section 48: Limitation of Liability.

These provisions should be read before approving a Quotation or making payment.

  1. ELECTRONIC COMMUNICATION

The Client agrees that ANR may use electronic communications in connection with the Project.

This includes:

  • email;
  • WhatsApp;
  • electronic quotations;
  • electronic approvals;
  • online payment confirmations; and
  • other recorded electronic communications.

Such communications may be used for instructions, approvals, variations, confirmations and contractual communications.

  1. ELECTRONIC ACCEPTANCE

Electronic approval through ANR’s quotation system constitutes acceptance of the applicable Quotation.

The Client may also evidence acceptance by:

  • making payment;
  • instructing ANR electronically to proceed;
  • approving procurement;
  • approving a variation; or
  • otherwise acting in a manner clearly indicating acceptance.

Electronic records may be relied upon as evidence of the transaction and the parties’ communications, subject to applicable law.

  1. ACCESS TO THESE TERMS

The latest Terms & Conditions are published at:

www.anrmedia.co.za/terms

The Client is requested to review these Terms & Conditions before approving a Quotation.

Where a Quotation links or refers to these Terms & Conditions, they are incorporated into the agreement subject to applicable law.

ANR will maintain reasonable records of historical versions so that the version applicable at the time of acceptance can be identified.

  1. PERSONAL INFORMATION

ANR may collect and process personal information reasonably necessary for:

  • preparing quotations;
  • communicating with Clients;
  • delivering goods;
  • managing Projects;
  • providing after-sales support;
  • administering warranties;
  • maintaining financial records; and
  • complying with legal obligations.

ANR will process personal information in accordance with applicable South African data-protection legislation.

  1. INTELLECTUAL PROPERTY

Designs, layouts, drawings, renders, concepts, documentation, manufacturing methods and other original material created by ANR remain subject to ANR’s intellectual-property rights unless expressly transferred in writing.

The Client may use Project documentation for the intended Project but may not commercially reproduce or sell ANR’s designs without permission.

  1. PHOTOGRAPHY AND MARKETING

ANR will not rely on these Terms & Conditions alone as blanket permission to publish identifiable images of a Client’s home or personal information.

Where ANR wishes to use identifiable Project photographs or video for marketing purposes, appropriate permission should be obtained where required.

  1. ENTIRE AGREEMENT

The following collectively constitute the agreement:

  • the accepted Quotation;
  • these Terms & Conditions;
  • approved designs or specifications where applicable;
  • recorded approved variations; and
  • any additional written agreement between ANR and the Client.

Statements or representations outside these documents will not vary the agreement unless subsequently confirmed by the parties in writing or electronically.

  1. NO WAIVER

A delay or failure by ANR to exercise a contractual right does not permanently waive that right.

A waiver applies only where clearly communicated by ANR.

  1. SEVERABILITY

If a court or competent authority finds any provision of these Terms & Conditions unlawful or unenforceable, that provision will be limited or severed to the minimum extent necessary.

The remaining provisions will continue to apply.

  1. FAIR AND REASONABLE INTERPRETATION

These Terms & Conditions must be interpreted consistently with applicable South African law.

Nothing in these Terms & Conditions is intended to create a term that is unfair, unreasonable or unjust or to remove a consumer right that cannot lawfully be excluded.

  1. CONSUMER PROTECTION

Where the Consumer Protection Act applies to the transaction, nothing in these Terms & Conditions is intended to limit the Client’s rights under the Act where those rights cannot legally be limited or waived.

  1. GOVERNING LAW

The agreement is governed by the laws of the Republic of South Africa.

  1. DISPUTE RESOLUTION

If a dispute arises, the parties should first attempt in good faith to resolve the matter directly.

Either party may request a meeting or written discussion to attempt resolution.

Nothing in this clause prevents either party from approaching a court, consumer body, regulator or other forum where legally entitled to do so.

  1. CLIENT ACCEPTANCE

By electronically approving an ANR Quotation, making payment against it, or instructing ANR to proceed, the Client confirms that the Client:

  • has had the opportunity to review the Quotation;
  • has had the opportunity to review these Terms & Conditions;
  • understands the selected payment arrangement;
  • understands that discounts are conditional;
  • understands the equipment procurement provisions;
  • has been specifically directed to the risk-transfer provisions;
  • understands that cancellation may result in lawful charges for specially ordered goods, custom manufacturing and commitments already incurred; and
  • agrees to the Quotation and these Terms & Conditions subject to applicable South African law.
